Agreement to Terms
By accessing or using the services provided by K&J Digital Solutions ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Services
K&J Digital Solutions provides digital infrastructure consulting, including but not limited to systems implementation, technical strategy, and ongoing operational support for mission-driven organizations. Specific services, deliverables, timelines, and fees will be outlined in a separate Statement of Work or proposal for each engagement.
Client Responsibilities
When engaging our services, you agree to:
- Provide accurate and complete information necessary for project completion
- Respond to requests for feedback, approvals, and materials in a timely manner
- Ensure you have the authority to grant us access to systems and data as needed
- Pay invoices according to the agreed-upon schedule
Payment Terms
Payment terms will be specified in your proposal or Statement of Work. Unless otherwise agreed:
- Invoices are due within 30 days of receipt
- Late payments may incur a 1.5% monthly fee
- We reserve the right to pause work on accounts with outstanding balances
Intellectual Property
Upon full payment, you own all deliverables created specifically for your project. We retain ownership of pre-existing tools, frameworks, and methodologies used in delivering our services. We may use general knowledge gained during our engagement to improve our services for other clients.
Confidentiality
We will treat all non-public information you share with us as confidential. We will not disclose your confidential information to third parties without your consent, except as required by law. This obligation survives the termination of our engagement.
Limitation of Liability
To the maximum extent permitted by law, K&J Digital Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, regardless of the cause of action. Our total liability for any claim arising from our services shall not exceed the fees paid by you for the specific services giving rise to the claim.
Termination
Either party may terminate an engagement with 30 days written notice. Upon termination, you will pay for all work completed up to the termination date. We will provide reasonable transition assistance and return any materials belonging to you.
Warranties
We warrant that our services will be performed in a professional manner consistent with industry standards. We do not warrant that our services will be uninterrupted or error-free, or that they will meet all of your requirements. All other warranties, express or implied, are disclaimed.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified terms.
